FEBRUARY 24, 1990


The general purpose of the club shall be to preserve and maintain  Model T Fords of ancient age and historical value and to serve as an accurate and technical source of information concerning Model T Fords for the benefit of its members as well as the general public.


Section 1: There shall be only one class of membership.
This class shall be titled "Active".

Section 2: Application for membership shall be in writing, and accompanied by dues for the present year.  Membership shall become effective upon acceptance of the applicant by a majority at a meeting of the membership.

Section 3: Any member may resign by written notification to one of the officers of the club, and shall be effective upon the notification of the membership, and the payment of all indebtedness to the club.

Section 4: Any member may be suspended by the club for non-payment of dues after February 1 of each year, Suspension shall be by a majority vote at a meeting of the membership.

Section 5: Upon the resignation, suspension, or death of a member his rights and privileges as a member shall cease.


Section 1: The meetings of the members of the club shall be at a location determined from time to time by the membership.

Section 2: A regular meeting shall be held monthly.

Section 3: Special meetings of the members may be called at any time by the President upon written notice stating the time, place, and purpose of the meeting.  Such notice shall be sent to the entire membership at least seven (7) days in advance of the meeting.

Section 4: Each voting member in good standing shall be entitled to one vote at any meeting at which they are present.  No one's vote shall be recognized unless that person is present.


Section 1: The officers of this club shall be President, Vice-President, Secretary, Treasurer, and Publications Officer.  When the duties do not conflict one person may hold more than one of these offices at one time, except no one shall be President and Secretary at the same time.  Officers shall serve for one year beginning on February 1 and ending on January 31.  The officers shall be elected by the membership at the January meeting.

Section 2: All officers shall be members of "The Model T Ford Club of America".

Section 3: Any officer may be removed for cause by a vote of two-thirds of the membership.

Section 4: Vacancies shall be filled by regular election.

Section 5: The President and the Vice-President shall not succeed themselves to office more than twice.


Section 1: The President shall be the chief executive officer of the club.  He shall preside at all meetings of the club.  He shall be ex-officio member of all committees.  He shall have the power to establish such committees as are necessary to the operation of the club.  The President shall sign all contracts for the club, after such contract has received the approval of a majority of the membership.

Section 2: In the absence or disability of the President, the Vice-President shall have all of the powers and duties of the President.  The Vice-President shall have such other powers and duties as from time to time shall be prescribed by the members.

Section 3: The Secretary shall attend all meetings of the membership and the Board of Directors and shall record all minutes and votes.  He shall keep a register showing the names and addresses of the members.  the Secretary shall give notice of all meetings and events of the club to the membership.  The Secretary shall certify to the Executive Committee of the National Club the names and addresses of the Officers, and the names and addresses of the Members of the club.

Section 4: The Treasurer shall keep and maintain records of the money and property of the club.  He shall deposit all money in the name of the club with such depositories as he feels necessary.  He shall disburse funds as directed by a vote of the members.  He shall render an account to the members, upon their request, of all transactions and of the financial condition of the club.

Section 5: The Publications Officer shall exercise such powers and perform such duties as shall be assigned to him from time to time by the Board of Directors, or the membership.


Section 1: The Board of Directors shall consist of the Officers of the Club.

Section 2: Vacancies shall be filled in the manner prescribed for the officers.


Section 1: The nomination committee shall be appointed by the President, and shall prepare a ballot of not less than one name for each position being voted on.  Candidates shall be elected by a majority vote of the membership.


Section 1: A simple majority shall be required to constitute a quorum of either the Membership or the Board of Directors.

Section 2: No official business may be taken without a quorum present.

Section 3: Once a quorum is established all business carried out at that meeting shall be binding on the membership of the club.


Section 1: The Board of Directors shall have the power to call meetings is deemed necessary.

Section 2: The Board of Directors shall manage, control the affairs, relations and business of the club, and make rules not inconsistent with the laws of Ohio, or the rules of "The Model T Ford Club of America" for the guidance and management of the club.  The Board of Directors may NOT incur any indebtedness on behalf of the club without the approval of the membership by vote of a majority of a quorum at a meeting of the membership.

Section 3: The Board of Directors shall also serve as the Executive Committee, whose sole duty shall be the agenda for meetings of the membership.


Section 1: No contracts may be executed without a vote at a membership meeting.

Section 2: Only the President, or in his absence the Vice-President, may sign a contract.


Section 1: Membership dues shall be such as are fixed by a vote at a membership meeting.

Section 2: Dues shall be payable on or before January 1 of each year, and are delinquent as of February 1 of each year.

Section 3: No delinquent member shall be counted toward establishing a quorum.

Section 4: No delinquent member shall have a right to vote.

Section 5: It shall be the Treasurers duty to keep records regarding who is delinquent and see that the secretary is supplied a copy of those records on a monthly basis.


These bylaws may be amended at any time by a majority vote of the entire membership, after thirty days' notice of the amendment.
